Purchase Order Terms & Conditions

1. Supplier Quality Requirements

The Purchase Order (“PO”) is issued subject to the provisions of the Z AL HASHMI HOLDING Quality Management System Terms and Conditions.

2. Advance Payment Requirements
  • 2.1 Where advance payments exceed AED 1,000,000 (individually or cumulatively), the Supplier shall provide an Advance Payment Bank Guarantee in a format acceptable to Z AL HASHMI HOLDING.
  • 2.2 No advance payment shall be released until Z AL HASHMI HOLDING receives the original acceptable bank guarantee.
3. Invoicing Requirements

3.1 All invoices must:

  • Refer to the correct PO number;
  • English Language version;
  • Shall have all supporting documents listed below unless otherwise stated in the PO.
  • Delivery notes signed by an authorized Z AL HASHMI HOLDING representative.
  • OEM CoC, Supplier CoC, Packing list.
  • FAA, EASA, Forms…etc
  • All Local suppliers must provide the COO (Certificate of Origin) attested by either Abu Dhabi Local Chamber of commerce, or Dubai Local Chamber of commerce, or Sharjah Local Chamber of commerce…etc.
  • Service Completion Certificate and/or timesheets signed by an authorized representative.

3.2 VAT-compliant invoices must include:

  • Supplier’s Tax Registration Number (TRN);
  • VAT amount itemized separately.

3.3 Invoices may be submitted in original or scanned copies to:

3.4 Original invoices must be physically delivered to:

3.5 Payment terms commence only after:

  • Receipt of the goods in the ZAHH system;
  • Submission of all required supporting documentation;
  • Finance Department approval.

4. Export Control Compliance

4.1 For ITAR/EAR controlled goods, the Supplier must provide:

  • Export Control Classification Number (ECCN), and/or
  • ITAR Category under the US Munitions List (USML).

4.2 Information must be submitted to: ops@zalhashmiholding.ae

5. Shelf-Life and Hazardous Goods Requirements

5.1 Shelf-life items must have minimum 80% remaining shelf life at the time of receipt.
5.2 Dangerous Goods deliveries must include:

  • MSDS;
  • Technical Data Sheet;
  • Temperature Control Records (if applicable);
  • Certificate of Conformity.
6. Applicability of Terms

These Terms and Conditions apply unless an executed Agreement exists between the parties. In that case, the Agreement prevails. Supplier terms are expressly rejected and have no legal effect.

7. Order Confirmation

Supplier must return acceptance signed PO within seven (7) calendar days, or supplier Acknowledgment format. Z AL HASHMI HOLDING may cancel the PO without liability within 14 days of receiving the signed copy.

8. Pricing & Payment

Prices in the PO are firm and fixed, inclusive of all costs. Disputes do not relieve the Supplier of delivery obligations.

9. Certificates Required for Delivery

Supplier must provide all certificates listed in the PO, including but not limited to:

  • Certificate of Origin
  • HS Codes
  • OEM Certificate of Conformance
  • Calibration Certificates (with serial numbers)
  • MSDS (for hazardous materials)

Absence of documents constitutes a contract breach and may result in rejection.

10. Inspection Rights

Z AL HASHMI HOLDING and its customers must inspect goods during delivery process.
Non‑conforming goods may be rejected at Supplier’s cost.

11. Changes

Changes requested by Z AL HASHMI HOLDING must be implemented by Supplier. If changes come from the end-user and impact cost or delivery, Supplier may revise pricing and delivery dates. Shipping alternate or superseded part numbers will be accepted only if they are written in ZAHH PO copy. If the alternate PNs were not in the PO ZAHH will reject them and ship them back to the supplier upon the supplier cost.

12. Delivery & Penalties

Late delivery (other than force majeure), incorrect UOM, or alternate part numbers without approval will result in: Penalty: 10% per week (or part thereof), capped at 15% of affected PO value, without prejudice to additional damages. Z AL HASHMI HOLDING may also cancel the PO or procure elsewhere at Supplier’s cost.

13. Acceptance, Title & Risk

Z AL HASHMI HOLDING has 60 days to notify Supplier of non‑conformities. Absence of notice may constitute acceptance. Title passes upon delivery (or upon advance payment, if applicable). Risk transfers upon acceptance.

14. Warranty

Supplier warrants that goods are:

  • New, defect‑free, and conforming to specifications;
  • Compliant with applicable UAE laws.

Warranty period:
24 months from acceptance. Z AL HASHMI HOLDING may demand repair, replacement, or obtain alternative goods at Supplier’s cost.

15. Confidentiality

Supplier must maintain confidentiality of all Z AL HASHMI HOLDING information and use it solely for the PO’s performance.

16. Indemnity & Insurance

Supplier shall indemnify and hold Z AL HASHMI HOLDING harmless from all claims, losses, and damages connected with the goods. Supplier must maintain valid insurance coverage and provide evidence upon request.

17. Tooling

Tooling provided or paid for by Z AL HASHMI HOLDING remains its exclusive property.
Supplier bears all risks and must clearly mark ZAHH‑owned tooling.

18. Suspension & Termination

Z AL HASHMI HOLDING may suspend or terminate the PO at any time.
For termination for convenience, only direct, reasonable, and irreversible costs are reimbursable.
Supplier must submit claims within 30 days.

Z AL HASHMI HOLDING may terminate immediately for Supplier default, insolvency, or anticipated non‑performance. ZAHH is not liable for loss of profit or consequential damages.

19. Miscellaneous Provisions

Supplier is an independent contractor. No amendments are valid without written agreement.
Invalid provisions do not affect remaining terms. Anti‑bribery and anti‑fraud representations apply.
Waivers must be in writing.

20. Publicity

Supplier may not publish or disclose any information regarding Z AL HASHMI HOLDING or the PO without prior written approval.

21. Governing Law & Jurisdiction

This PO is governed by:

  • Federal Laws of the United Arab Emirates;
  • Laws of the Emirate of Abu Dhabi.

Disputes shall be resolved exclusively by the courts of the United Arab Emirates.
